As of January 2025, Pennsylvania requires all entities registered with the Department of State to file an Annual Report.

What Is the Pennsylvania Annual Report?

The Annual Report provides the state with up-to-date information about your business. Required details include:

  • Business Name
  • Jurisdiction of Formation
  • Registered Office Address
  • Principal Office Address
  • Name of at least one Director, Member, or Partner (depending on the entity type)
  • Names and Titles of Key Officers (if applicable)
  • Entity Number issued by the PA Department of State

The report helps maintain accurate records of businesses operating in Pennsylvania.

What Businesses Are Affected?

The Annual Report requirement applies to:

  • Domestic and Foreign Corporations (for-profit and nonprofit)
  • Domestic and Foreign Limited Liability Companies (LLCs)
  • Domestic and Foreign Limited Partnerships (LPs), Limited Liability Limited Partnerships (LLLPs), and Limited Liability Partnerships (LLPs)
  • Domestic and Foreign Professional Associations
  • Domestic and Foreign Business Trusts
  • All Registered Foreign Associations

Exemptions include:

  • Fictitious Names
  • General Partnerships (not LLPs)
  • Name Reservations, Trademarks, and Marks
  • Land Banks
  • Financial Institutions and Credit Unions

Filing fees are $7 for business corporations, LLCs, LPs, LLLPs, and LLPs. Nonprofits and LPs/LLCs with a not-for-profit purpose are exempt from fees.

Key Dates & Deadlines:

For entities registered before January 1, 2025, the first Annual Report is due in 2025. For entities created after January 1, 2025, the first report is due in the year following formation. Filing deadlines are as follows:

  • Corporations (Nonprofit & For-profit): June 30
  • LLCs: September 30
  • LPs, LLPs, LLLPs, Business Trusts, Professional Associations: December 31

Starting in 2027, failure to file within six months of the due date will result in dissolution/cancellation. A grace period is provided for 2025-2026, so no dissolution penalties will apply during these years.

How to File Your Annual Report

The Pennsylvania Department of State offers an online filing system:

  1. Create an account for Business Filing Services (BFS) if you’re a new user: Business Filing Services
  2. Log in to the portal: PA Department of State Portal
  3. Search for your business name under “Business Search”
  4. Click on the Annual Report icon (no PIN required)
  5. Complete the form and pay via credit card
  6. After processing, download the form and acknowledgment letter, and you’ll receive an email with instructions to access your filed documents via “My Work Queue” in BFS.
